An LLP’s annual return, accounts and partner changes need to agree with its signed agreement. TheTaxCo prepares the annual filing set and the separate event filings arising from changes in partners, contribution, agreement terms or registered details.
We begin by reconciling the agreement, books and MCA record. If a partner left or the contribution changed without the corresponding filing, that event is addressed alongside the current annual work.
The annual pair
Form 11 is the annual return. It records the LLP’s particulars, partners and contribution information. Form 8 is the Statement of Account and Solvency, supported by the accounts and the designated partners’ assessment of the LLP’s ability to pay debts. Form 8 also contains the charge-filing route, which is distinct from its annual statement purpose. MCA Form 11 instructions and notified Form 8.
The designated partners must be able to support the solvency declaration from the LLP’s actual position. A cash shortage, disputed receivable or overdue debt should be considered before signing. The form allows the relevant solvency position to be disclosed; it is not a declaration to be copied unchanged each year.
Annual and event work are separate
The annual filing does not automatically regularise a partner’s appointment or cessation. A change to the agreement may affect capital contribution, profit sharing, management rights or obligations among partners, and its filing follows the event route.
We review the effective dates and supporting documents for each change. Where an exit is disputed or the signed agreement does not support the claimed terms, the parties may need legal advice before a filing can accurately record the event.
Inactivity also differs from formal closure. We assess the obligations of the LLP for the period and its registry status; a year without sales is not treated as evidence that it has ceased to exist.
Documents for a complete review
Provide the LLP agreement and amendments, prior filing acknowledgements, partner-change documents, contribution records, annual books and any charge information. We also need the dates and evidence of changes that have not reached the public record.
The preparation work compares partner names, contribution obligations, amounts received and profit-sharing terms across the records. We then prepare the annual statements and applicable event data, with discrepancies returned as a consolidated list for the partners to resolve.
Audit applicability and professional certification are assessed separately using the LLP’s turnover, contribution and the requirements for the form. Bookkeeping completion and any required audit must be scheduled before the accounts-based filing is finalised.
Calendar and completion
The annual return is due within 60 days of financial-year end, which ordinarily gives 30 May for a 31 March year-end. LLP Act, section 35. Form 8 is due within 30 days after the end of six months from financial-year end, ordinarily 30 October for a 31 March year-end. LLP Rules, rule 24(4). Agreement, partner, office and charge changes have their own event dates. We provide the applicable dates for the LLP’s actual financial year and any valid extension, including a separate check for its first reporting period.
You approve the final particulars and designated partners complete the required signing. Our LLP team prepares the forms, arranges required certification, completes portal submission and handles validation queries. The handover includes the completed annual and event records, acknowledgements, reconciliations and the next compliance calendar.
Older gaps
A historic partner exit needs evidence of the event and its terms. A late annual form needs the supporting period’s accounts and an assessment of the consequences of delay. We reconstruct the missing record and complete the appropriate corrective filing before treating the history as resolved.
